1. Introduction
These Terms & Conditions (“Terms”) govern the provision of scientific consulting, analytical services, collaborative research activities, and related professional engagements offered by Intelligent BioMedical Analytics (IBA).
IBA provides expertise in computational biology, bioinformatics, molecular data interpretation, clinical and translational analytics, artificial intelligence, statistical modeling, and analytical pipeline development. These Terms apply to all services, collaborations, and project-related interactions unless otherwise governed by a separate written agreement.
By engaging IBA’s services, providing project materials, participating in a collaboration, or entering into a project-related discussion, clients, collaborators, and partners acknowledge and accept these Terms.
Nothing in these Terms shall limit or replace specific provisions defined in project agreements, collaboration agreements, grant agreements, consortium agreements, non-disclosure agreements, or other written contracts. Where such agreements exist, the specific written agreement shall prevail in the event of a conflict.
IBA is committed to scientific integrity, transparency, responsible data handling, and the development of rigorous, reproducible, and meaningful scientific outcomes.
2. Scope of Services
IBA provides scientific consulting, analytical support, computational workflows, and collaborative research services across the fields of computational biology, bioinformatics, artificial intelligence, molecular biology, clinical research, and translational medicine.
Services may include, but are not limited to:
scientific consulting and project design
molecular data interpretation
clinical and translational analytics
multi-omics integration and analysis
biomarker discovery and prioritization
statistical analysis and modeling
machine-learning and AI-based analytics
analytical pipeline development
data visualization and reporting
scientific literature review and evidence synthesis
research strategy development
support for grant proposals, publications, and collaborative research initiatives
Services may be performed within Consultancy Projects, Collaborative Scientific Projects, Startup Collaborations, Grant-Funded Work, or combinations thereof.
Scientific analyses, computational predictions, machine-learning outputs, statistical models, and biological interpretations are inherently subject to uncertainty and depend on factors including data quality, methodological assumptions, sample size, experimental design, and available scientific evidence.
Accordingly:
IBA does not guarantee any specific scientific, technical, commercial, clinical, regulatory, funding, publication, or research outcome.
Findings and recommendations are intended as scientific and decision-support information.
Clients and collaborators remain responsible for determining the suitability of project outputs for their intended use.
Unless explicitly agreed in writing, IBA does not provide:
medical diagnosis
patient care or treatment recommendations
clinical decision-making services
regulatory certification services
legal advice
financial advice
guarantees of publication, funding success, commercialization, or regulatory approval
IBA reserves the right to decline, suspend, postpone, or terminate services where scientific, legal, ethical, regulatory, or operational concerns arise.
3. Types of Engagement
3.1 Consultancy Projects
A project in which IBA provides scientific analysis, interpretation, consulting, data analysis, or pipeline-based analytical services. The client generally retains ownership of supplied data and project-specific results.
Unless otherwise agreed in writing, IBA retains ownership of all underlying methods, algorithms, software, workflows, and intellectual property used or developed in delivering the services.
3.2 Collaborative Scientific Projects
Collaborative Scientific Projects involve joint scientific work between IBA and one or more partners.
Ownership, publication rights, data-sharing arrangements, and retention periods may be jointly defined and governed by collaboration agreements.
3.3 Startup Collaborations
Startup Collaborations involve co-development of scientific methods, technologies, intellectual property, analytical frameworks, or commercial opportunities.
Ownership, commercialization rights, and future use of jointly developed outputs shall be governed by the relevant project agreements.
3.4 Grant-Funded Work
Where work is conducted under grant conditions, consortium agreements, or funding-body requirements, the terms imposed by the funding organization shall apply where relevant.
4. Data Requirements and Quality Control
Clients and collaborators are responsible for ensuring that submitted data are scientifically appropriate and satisfy agreed technical and quality requirements.
IBA reserves the right to:
reject datasets that fail agreed quality-control standards
suspend analysis where data quality prevents reliable interpretation
request additional information or metadata
terminate work if scientific validity cannot reasonably be ensured
Data failing quality-control review may be returned, excluded from analysis, or deleted in accordance with the applicable agreement.
5. Data Ownership and Intellectual Property
5.1 Consultancy Projects
Unless otherwise agreed in a separate written agreement:
Clients retain ownership of datasets, materials, and information provided to IBA for the purpose of the project.
Clients retain ownership of project-specific results, reports, figures, analyses, and deliverables expressly identified in the project proposal.
IBA retains all rights, title, and interest in its pre-existing and newly developed methods, algorithms, software, scripts, pipelines, workflows, templates, analytical frameworks, know-how, and intellectual property used or created in the course of providing the services.
The provision of consultancy services does not grant the client ownership of, access to, or a license to IBA’s underlying source code, algorithms, software, or analytical pipelines unless expressly agreed in writing.
Any transfer of source code, software, algorithms, custom pipelines, or related intellectual property shall require a separate written agreement and may be subject to additional development, documentation, licensing, maintenance, or transfer fees.
5.2 Collaborative Scientific Projects
Jointly developed methods, models, results, publications, datasets, or intellectual contributions may be jointly owned.
Ownership shall be governed by applicable collaboration agreements.
5.3 Startup Collaborations and Grant-Funded Work
Ownership, commercialization rights, licensing arrangements, publication rights, and intellectual-property provisions shall be determined by the relevant agreements governing the project.
6. Confidentiality
IBA treats project-related information, data, analyses, and communications as confidential unless:
disclosure is authorized by the relevant parties
disclosure is required by law
the information is already publicly available
disclosure is required under an applicable project agreement
Where necessary, separate Non-Disclosure Agreements (NDAs) may be executed.
7. Fees and Payment
Where services are provided on a paid basis:
Fees shall be specified in a quotation, proposal, contract, or statement of work.
Invoices must be paid within the agreed payment period.
Late payments may result in suspension of services.
Taxes and statutory charges shall be handled in accordance with applicable law.
Any project-specific financial arrangements shall prevail over these Terms. Quotations are based on the scope of work described in the applicable proposal, quotation, contract, or statement of work and are valid only for that defined scope.
Significant changes in project requirements, data quality, data volume, analytical objectives, project scope, or requested deliverables may require a revised quotation and additional fees. Where additional work becomes necessary due to previously undisclosed or unforeseen data quality issues, changes in project scope, or client requests beyond the originally agreed services, IBA shall notify the client and provide a revised quotation before commencing such work.
7.1 Change of Scope and Additional Work
Project fees are based on the scope, objectives, deliverables, and data quality described in the approved proposal.
Additional fees may apply where:
datasets are incomplete, inconsistent, corrupted, poorly annotated, or otherwise require substantial additional preprocessing;
data quality, completeness, annotation, or metadata issues are discovered after project commencement that materially increase the effort required to perform the agreed analyses;
the client requests new analyses, additional deliverables, revised research questions, or modifications to the agreed scope of work;
additional datasets, samples, or metadata are provided after project initiation;
further pipeline development, validation, reanalysis, custom software development, or other work becomes necessary beyond the originally agreed project scope.
In such cases, IBA will notify the client and provide a revised quotation or change order before performing the additional work. Such work shall commence only after written approval by the client. Delays resulting from requested changes in scope or from the provision of additional datasets, samples, metadata, or requirements may result in revised project timelines.
Routine data preprocessing and quality-control procedures, including standard normalization, batch-effect assessment and correction, outlier detection, missing-data handling, and other commonly accepted analytical practices, are considered part of the agreed analysis unless otherwise specified in the project proposal.
8. Data Retention and Deletion
Data retention, deletion, storage, and transfer practices are governed by IBA’s Privacy Policy and any applicable project agreements.
Where a conflict exists, contractual obligations, regulatory requirements, grant conditions, or collaboration agreements shall take precedence.
9. Limitation of Liability
Scientific analyses, computational predictions, statistical models, AI-generated outputs, and biological interpretations may contain uncertainties and should not be considered guarantees of scientific, clinical, commercial, or regulatory outcomes.
IBA shall not be liable for:
decisions made based on project outputs
clinical actions taken by healthcare providers
commercial outcomes
funding decisions
publication outcomes
third-party interpretations of scientific results
inaccuracies arising from incomplete, inaccurate, or low-quality data supplied by clients or collaborators
Nothing in these Terms limits liability where such limitation is prohibited by applicable law.
10. Termination & Suspension
Either party may terminate a project in accordance with the applicable project agreement.
IBA may suspend or terminate work where:
Required information is not provided.
Data quality is insufficient for the agreed analysis.
Payment obligations are not met.
Legal, ethical, or regulatory concerns arise.
Continued work would compromise scientific integrity.
Where a project is terminated by the client after work has commenced, the client shall remain responsible for payment of all services performed and costs incurred up to the effective date of termination. Any non-refundable third-party costs, software license fees, cloud-computing expenses, data-storage costs, or subcontractor fees already incurred or committed by IBA shall also remain payable.
Where payment obligations are not met, IBA reserves the right to suspend services, withhold deliverables, reports, results, source code, software, and other project outputs, and terminate the project if outstanding amounts remain unpaid.
Termination or suspension shall not affect obligations relating to confidentiality, intellectual property, data protection, or accrued payment obligations.
11. Governing Law
These Terms shall be governed by and interpreted in accordance with the laws of the Federal Republic of Germany.
Where legally permissible, the place of jurisdiction shall be the competent courts of Germany.

7. Fees and Payment
Where services are provided on a paid basis:
Fees shall be specified in a quotation, proposal, contract, or statement of work.
Invoices must be paid within the agreed payment period.
Late payments may result in suspension of services.
Taxes and statutory charges shall be handled in accordance with applicable law.
Any project-specific financial arrangements shall prevail over these Terms. Quotations are based on the scope of work described in the applicable proposal, quotation, contract, or statement of work and are valid only for that defined scope.
Significant changes in project requirements, data quality, data volume, analytical objectives, project scope, or requested deliverables may require a revised quotation and additional fees. Where additional work becomes necessary due to previously undisclosed or unforeseen data quality issues, changes in project scope, or client requests beyond the originally agreed services, IBA shall notify the client and provide a revised quotation before commencing such work.
7.1 Change of Scope and Additional Work
Project fees are based on the scope, objectives, deliverables, and data quality described in the approved proposal.
Additional fees may apply where:
datasets are incomplete, inconsistent, corrupted, poorly annotated, or otherwise require substantial additional preprocessing;
data quality, completeness, annotation, or metadata issues are discovered after project commencement that materially increase the effort required to perform the agreed analyses;
the client requests new analyses, additional deliverables, revised research questions, or modifications to the agreed scope of work;
additional datasets, samples, or metadata are provided after project initiation;
further pipeline development, validation, reanalysis, custom software development, or other work becomes necessary beyond the originally agreed project scope.
In such cases, IBA will notify the client and provide a revised quotation or change order before performing the additional work. Such work shall commence only after written approval by the client. Delays resulting from requested changes in scope or from the provision of additional datasets, samples, metadata, or requirements may result in revised project timelines.
Routine data preprocessing and quality-control procedures, including standard normalization, batch-effect assessment and correction, outlier detection, missing-data handling, and other commonly accepted analytical practices, are considered part of the agreed analysis unless otherwise specified in the project proposal.
8. Data Retention and Deletion
Data retention, deletion, storage, and transfer practices are governed by IBA’s Privacy Policy and any applicable project agreements.
Where a conflict exists, contractual obligations, regulatory requirements, grant conditions, or collaboration agreements shall take precedence.
9. Limitation of Liability
Scientific analyses, computational predictions, statistical models, AI-generated outputs, and biological interpretations may contain uncertainties and should not be considered guarantees of scientific, clinical, commercial, or regulatory outcomes.
IBA shall not be liable for:
decisions made based on project outputs
clinical actions taken by healthcare providers
commercial outcomes
funding decisions
publication outcomes
third-party interpretations of scientific results
inaccuracies arising from incomplete, inaccurate, or low-quality data supplied by clients or collaborators
Nothing in these Terms limits liability where such limitation is prohibited by applicable law.
10. Termination & Suspension
Either party may terminate a project in accordance with the applicable project agreement.
IBA may suspend or terminate work where:
Required information is not provided.
Data quality is insufficient for the agreed analysis.
Payment obligations are not met.
Legal, ethical, or regulatory concerns arise.
Continued work would compromise scientific integrity.
Where a project is terminated by the client after work has commenced, the client shall remain responsible for payment of all services performed and costs incurred up to the effective date of termination. Any non-refundable third-party costs, software license fees, cloud-computing expenses, data-storage costs, or subcontractor fees already incurred or committed by IBA shall also remain payable.
Where payment obligations are not met, IBA reserves the right to suspend services, withhold deliverables, reports, results, source code, software, and other project outputs, and terminate the project if outstanding amounts remain unpaid.
Termination or suspension shall not affect obligations relating to confidentiality, intellectual property, data protection, or accrued payment obligations.
11. Governing Law
These Terms shall be governed by and interpreted in accordance with the laws of the Federal Republic of Germany.
Where legally permissible, the place of jurisdiction shall be the competent courts of Germany.
